Terms of Service

Last updated: [DATE]

These Terms of Service ("Terms") are an agreement between Strategos AI LLC, a Florida limited liability company ("Oráculo", "we", "us"), and the business or person who creates an account or uses the service ("Customer", "you"). By creating an account, starting a trial or using oraculo.miami (the "Service"), you accept these Terms. If you accept on behalf of a company, you confirm you can bind it.

1. The Service

Oráculo is an information and workflow platform for real estate professionals. It compiles public records, licensed third party data and published information about real property in Miami-Dade County, Florida, and offers analytics, scores, research reports, deal calculators, lists, a pipeline board, and AI assisted drafting and communication tools. Scores, estimates, forecasts and AI generated reports are opinions and estimates, not facts or guarantees.

2. Eligibility and accounts

  1. The Service is for business use by real estate investors, brokers, lenders and similar professionals who are at least 18 years old. It is not offered to consumers for personal, family or household purposes.
  2. Access is by invitation or subscription. You are responsible for your users, their credentials and everything done under your account. Org owners must use two factor authentication.
  3. You must give accurate account and billing information and keep it current.

3. Subscriptions, usage and payment

  1. Plans, seats, included usage and prices are shown at checkout or in your order. Subscriptions renew automatically for the same term until cancelled in the billing portal before renewal.
  2. Some features are metered (for example AI research reports, AI call minutes, mailed letters and on demand record lookups). Usage beyond your plan's included amount is billed at the posted rates, up to the monthly cap you set.
  3. Fees are charged in advance by card through our payment processor, are non refundable except where the law requires, and exclude taxes, which you pay. Late or failed payment may lead to read only access and then suspension. We give 30 days' notice of price changes, effective at your next renewal.
  4. Free trials end automatically unless you subscribe; trial data may be deleted 30 days after a trial ends.

4. Permitted use

You may use the Service and its content to identify, research, evaluate, finance, acquire or market real property and to manage your own deal workflow, for your internal business purposes, in compliance with all laws and the Acceptable Use Policy, which is part of these Terms.

5. Not a consumer report; prohibited uses

Oráculo is not a consumer reporting agency, and the Service does not furnish consumer reports. You must not use the Service or any of its content, in whole or in part, as a factor in deciding any person's eligibility for credit, insurance, employment, housing or tenancy (including tenant screening), government benefits or licenses, or for any other purpose covered by the Fair Credit Reporting Act or similar laws. You also must not use the Service:

  1. To discriminate, or to target, exclude or steer anyone, based on race, color, religion, sex, national origin, disability, familial status, age or any other protected characteristic, or otherwise in violation of the Fair Housing Act or Florida law.
  2. To harass, stalk, threaten or intimidate anyone, or to locate a person for reasons unrelated to a real estate transaction.
  3. To scrape, bulk download, resell, sublicense or redistribute data from the Service, or to build a competing product, beyond the exports your plan allows.
  4. In any way that violates the Telephone Consumer Protection Act, the Florida Telephone Solicitation Act, the CAN SPAM Act, Do Not Call rules, s. 501.1377 Florida Statutes, s. 934.03 Florida Statutes or other laws on communications, recording, foreclosure rescue or equity purchasing.

6. Outreach and AI assistants

  1. The Service lets you draft and send letters, emails and replies, and lets an AI assistant answer calls on a line you control. You are the sender of every communication made through the Service and are solely responsible for its content, consent, timing and legal compliance. A person in your organization must approve each first contact and each offer before it is sent; the Service enforces that approval.
  2. AI assistants never sign documents or make binding commitments for you. They identify themselves as AI assistants when asked and at the start of calls. Automated or AI voice calls to a person are made only where that person has given prior express written consent recorded in the Service, and only within the hours and rules set for your account.
  3. Opt outs are honored across your organization and cannot be overridden. Contact with owners subject to a pending foreclosure is limited to templates your attorney has approved for s. 501.1377.
  4. AI output can be wrong or incomplete. Review it before you rely on it or send it.

7. Data accuracy

The Service relies on public records and third party sources that may be incomplete, delayed or wrong, and on matching and models that can err. We do not guarantee that any record, link between a property and a person or company, score, estimate or forecast is accurate, complete or current. Verify information independently before acting, and consult your own legal, tax and financial advisors. Nothing in the Service is legal, tax, investment or financial advice.

8. Intellectual property and licenses

  1. We and our licensors own the Service, its software, scores, models, designs and compiled data. We grant you a limited, non exclusive, non transferable license to use the Service during your subscription under these Terms.
  2. You own the content you add (notes, lists, uploads, your branding, your messages). You grant us a license to host and process it to provide the Service, and to use de identified, aggregated usage data to improve the Service.
  3. Third party data is subject to its providers' terms, which may limit how it is shown or exported.

9. Confidentiality and security

Each party will protect the other's non public information with reasonable care and use it only under these Terms. We use industry standard safeguards described in the Privacy Policy, but no system is perfectly secure.

10. Warranties and disclaimers

The Service is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non infringement.

11. Limitation of liability

To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost deals or lost data, and our total liability for all claims in any 12 months is limited to the fees you paid us in those 12 months. [Counsel: carve outs for indemnity, confidentiality breaches and payment obligations.]

12. Indemnity

You will defend and indemnify us against claims, fines and losses arising from your communications, your use of the Service in breach of these Terms or the law (including TCPA, FTSA, fair housing, FCRA and s. 501.1377 claims), or your content. We will defend you against third party claims that the Service, used as allowed, infringes their intellectual property.

13. Suspension and termination

We may suspend access immediately for non payment, security risks or suspected breach of Sections 5 or 6. Either party may end a subscription at the end of the term. On termination you may export your own content for 30 days, after which we may delete it.

14. Governing law and disputes

Florida law governs these Terms. [Counsel: binding arbitration in Miami-Dade County with a class action waiver, or courts of Miami-Dade County.] Each party may seek injunctive relief to protect its intellectual property or confidential information.

15. Changes and general terms

We may update these Terms with 30 days' notice for material changes; continued use after that means acceptance. These Terms, the Acceptable Use Policy, the Privacy Policy and any order form are the whole agreement. If a provision is unenforceable, the rest stays in effect. You may not assign these Terms without our consent. Notices to us: legal@getoraculo.com, [ADDRESS].
